Agreement to Terms

By accessing or using Unity Enterprise Management Solutions ("Unity EMS," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Description of Services

Unity EMS provides a comprehensive enterprise management platform that includes:

• Inventory and Asset Management
• Operations Management
• Analytics and Reporting
• Employee Portal and Self-Service

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

Account Registration and Responsibilities

Account Creation

To use certain features of our services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By creating an account, you represent and warrant that you meet these requirements.

Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit viruses, malware, or any harmful code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Collect or harvest information about other users without their consent
• Impersonate any person or entity or misrepresent your affiliation
• Engage in any fraudulent, abusive, or harassing behavior
• Use automated systems (bots, scrapers) without our express permission
• Reverse engineer, decompile, or disassemble any part of our services

Subscription and Pricing

Subscription Plans

We offer various subscription plans with different features and pricing. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are non-refundable except as required by law or as expressly stated in these Terms.

Payment Terms

By providing payment information, you authorize us to charge the applicable fees to your chosen payment method. You are responsible for all applicable taxes. If payment fails, we may suspend or terminate your access to the services.

Price Changes

We reserve the right to change our pricing at any time. We will provide you with at least 30 days' notice before any price increase takes effect. Your continued use of the services after the price increase constitutes acceptance of the new pricing.

Intellectual Property Rights

Our Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software, are the exclusive property of Unity EMS or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Data

You retain ownership of all data you submit to our services ("Your Data"). By using our services, you grant us a limited license to use, store, process, and display Your Data solely for the purpose of providing our services to you. We will not share Your Data with third parties except as described in our Privacy Policy.

Data Privacy and Security

We take data privacy and security seriously. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy.

Service Level and Availability

We strive to maintain high availability of our services but cannot guarantee uninterrupted access. We may perform scheduled maintenance, which may temporarily affect service availability. We will make reasonable efforts to provide advance notice of scheduled downtime.

Limitation of Liability

To the fullest extent permitted by law:

• Unity EMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We provide our services "as is" and "as available" without warranties of any kind
• We do not warrant that our services will be error-free, secure, or uninterrupted

Indemnification

You agree to indemnify, defend, and hold harmless Unity EMS and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of our services or violation of these Terms.

Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your right to use the services will immediately cease.

Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, non-payment, or fraudulent activity.

Effect of Termination

Upon termination, we will delete or anonymize Your Data in accordance with our data retention policies. We may retain certain information as required by law or for legitimate business purposes.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Arbitration

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English and the seat of arbitration shall be in India.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Unity EMS regarding the use of our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
